Bosch-Druck: Restructuring successfully completed
Ergolding, 06.02.2019 - Less than three months after applying for insolvency proceedings under self-administration, the printing company Bosch-Druck, headquartered in Ergolding in Bavaria, has successfully completed its restructuring. Business operations were transferred to a new company, Digitale Buch Manufaktur GmbH (DiBuMa), on February 1st, 2019. All business areas as well as the majority of jobs will be retained.
'With the takeover, BoschDruck again has a long-term perspective under the roof of an investor with an excellent strategic position,' said Martin Mucha of GRUB BRUGGER. The reorganization expert joined the management board in November as a general representative to steer the company through the reorganization.
'It is most gratifying that a large number of jobs have been saved.' The investor takes over 108 employees. In agreement with the works council, a reconciliation of interests was agreed for the employees who were not taken over, including the establishment of a transfer company for 31 employees.
With some investments in its modern digital product and service portfolio BoschDruck had already positioned itself strategically well in the changed market environment. However, the enormous price and competitive pressure weighed on the result, so that in mid-November 2018 a self-administration procedure had to be applied for.
Supported by the team of experts led by Dr. Stefan Weniger of the restructuring partner management consultancy, Martin Mucha approached a large number of national and international investors in the structured investor process and conducted intensive negotiations with various interested parties. In the end, the offer of the DiBuMa Group convinced. It already has extensive experience in the digitization of print products and their further processing and refinement and was also able to present a convincing buyer concept for the employees.
For well-known automobile manufacturers, publishers, web portals and other customers the new BoschDruck Solutions GmbH offers complete solutions that go far beyond the simple print product in terms of finishing, finishing and logistics. Operating manuals, high-quality brochures and various dialogue marketing products are delivered to the customer just-in-time or just-in-sequence, just as required.
'The fact that this has been achieved in less than three months above all is due to the good cooperation of all those involved,' said Mucha.
Customers and suppliers have remained loyal to us, and the close cooperation with the trustee Dr. Marcus Göbel of the law firm Dr. Göbel & Mansfeld has been extraordinarily constructive. The same applies to the acquirer's advisors, PrimePartners from Frankfurt, who specialize in transactions and restructurings of medium size and were supported by Altenburg Fachanwälte für Arbeitsrecht from Munich in regard to employment law. A big compliment goes above all to the employees and the works council: 'They have done an excellent job in a situation that was not easy for them and have contributed constructively to the solution', says Martin Mucha.
'I am enthusiastic about the spirit of optimism among the staff, the works council and the management team. With the merger of the companies of the DiBuMa Group and BoschDruck, we are now looking to the future and will be able to offer our customers a reliable partner for complete solutions in the field of printing, who will now be able to master the challenges of digitization without any inherited burdens,' says Daniel Schieb, Managing Director of both companies.
